Collector's BOX — Terms of Use

These Terms of Use ("Terms") govern access to and use of the Collector’s BOX website, application, database, services, features, content, community tools, and related services (collectively, the "Service").

Collector’s BOX is operated by boxYOUpop ("Collector’s BOX," "boxYOUpop," "we," "us," or "our").

By accessing or using Collector’s BOX, creating an account, or otherwise affirmatively accepting these Terms, the user agrees to be bound by them. Users who do not agree must not use the Service.

Collector’s BOX is a collectibles discovery, cataloging, collection-management, and community-information platform.

Features may include searching and browsing collectibles; exploring brands, manufacturers, artists, characters, intellectual properties, series, editions and product types; maintaining My Box; maintaining Hunt and Grails lists; submitting catalog corrections, images and information; reporting inaccurate or missing information; submitting feedback; community features; and additional features introduced later.

Features may be added, removed, renamed, restricted, modified or discontinued.

During the controlled beta, users must be at least 18 years old and legally capable of entering into these Terms.

Users are responsible for accurate account information, maintaining credential security, activity through their accounts, and notifying Collector’s BOX of suspected unauthorized access.

Users may not impersonate others or intentionally provide materially false account information.

Collector’s BOX may suspend or terminate accounts presenting legal, security, fraud, abuse or operational risks or violating these Terms.

Collector’s BOX contains information about collectibles obtained from manufacturers, artists, creators, licensors, retailers, distributors, collectors, community contributors, publicly available materials and other sources.

Catalog information may include product names, brands, manufacturers, artists, characters, intellectual properties, series, editions, release dates, rarity classifications, secret/chase/hidden/limited designations, edition sizes, descriptions, images, identifiers, product types, dimensions, references, verification information and other collectible-related information.

Collector’s BOX attempts to provide useful information but does not guarantee catalog information is complete, current, accurate, authentic or error-free.

Information may be corrected, supplemented, reorganized, combined or removed at any time.

Unless expressly stated otherwise, Collector’s BOX is not an authentication, certification, grading, appraisal, valuation or provenance service.

An item appearing in Collector’s BOX does not establish that a physical item is genuine, officially licensed, authentic, non-counterfeit, worth a particular amount, of a particular rarity, from a particular edition size or source, or available for purchase.

Users must independently evaluate collectibles before purchasing, selling, trading, insuring or otherwise relying upon them.

Nothing in Collector’s BOX constitutes investment, financial, tax, legal or appraisal advice or a recommendation to buy, hold, trade or sell a collectible.

Past prices, scarcity, rarity, popularity and community interest do not guarantee future value.

Collection-management features are provided for convenience.

Marking a collectible as owned does not constitute legal proof of ownership, purchase, possession, authenticity, title, insurance value or provenance.

Collector’s BOX should not be a user’s sole inventory record for insurance, tax, estate, accounting or legal purposes.

Users may submit collectible information, corrections, photographs, images, descriptions, release information, artist/manufacturer information, references, missing-product submissions, feedback, bug reports and other material.

Users retain ownership of rights they already possess in their original contributions.

Submission does not transfer ownership of a user’s original content to Collector’s BOX.

By submitting content, users grant Collector’s BOX and boxYOUpop a worldwide, non-exclusive, royalty-free, transferable and sublicensable license to host, store, reproduce, display, publish, format, resize, crop, adapt, translate, organize, categorize, moderate, correct, combine, distribute and otherwise use that contribution as reasonably necessary to operate, maintain, promote and improve Collector’s BOX.

For content incorporated into the catalog, this license may continue after account closure as reasonably necessary to maintain database integrity, subject to applicable law.

Users represent that they possess the rights necessary to submit their contributions.

Users may not knowingly submit material that infringes copyright, trademark, privacy, publicity or other rights; unlawful material; malware; intentionally deceptive information; unauthorized sensitive personal information; impersonation; or content intended to manipulate catalog records.

Collector’s BOX may review, reject, remove, edit, merge, categorize or correct submissions; replace images; request evidence; change verification status; preserve revision information; restrict contributors; or remove content when reasonably necessary for operation, integrity, safety or legal compliance.

Submission does not guarantee publication.

Except for third-party materials and User Contributions, the Service and its original software, interface, layout, branding, logos, graphics, database organization and original content are owned by or licensed to boxYOUpop and protected by applicable intellectual-property law.

Collector’s BOX, boxYOUpop, BOX and BYP FOUNDRY intellectual property remains the property of its respective owner.

Names, logos, characters, trademarks, product images, artwork and designs associated with third-party brands remain the property of their respective owners.

Inclusion of a brand, collectible, manufacturer, artist, character or intellectual property in Collector’s BOX does not by itself imply sponsorship, endorsement, partnership, authorization or affiliation.

Unless expressly identified otherwise, Collector’s BOX is an independent cataloging platform.

Rights holders may contact Support@boxyoupop.com.

Complaints should identify the protected work, disputed material, its location, claimant contact information, basis for the claim and sufficient information for Collector’s BOX to evaluate the request.

Collector’s BOX may remove or restrict disputed material while investigating.

Users may not:

• violate applicable law;
• access another user’s account without authorization;
• circumvent authentication or security controls;
• probe or exploit vulnerabilities;
• interfere with the Service;
• distribute malware;
• systematically scrape or extract the database without authorization;
• operate unauthorized bots;
• intentionally overwhelm infrastructure;
• harvest user information;
• manipulate rankings or verification systems;
• knowingly introduce false catalog records;
• upload infringing material;
• impersonate Collector’s BOX, boxYOUpop, another user, manufacturer, artist or brand;
• facilitate fraud; or
• assist another person in such conduct.

Ordinary personal use of information displayed through the Service is permitted.

Without written authorization, users may not systematically copy, scrape, download, reproduce, republish, mirror or commercially exploit substantial portions of the Collector’s BOX database.

Collector’s BOX may interact with or link to third-party websites, infrastructure, authentication providers, manufacturers, retailers, marketplaces, social networks or other services.

Collector’s BOX is not responsible for third-party availability, security, content, privacy practices, products, transactions or conduct.

Beta functionality is provided for testing and evaluation.

During beta, features may be incomplete, bugs may occur, information may be inaccurate, features may change, performance may vary, functionality may temporarily become unavailable, records may be corrected or reorganized, data structures may change, and features may never become generally available.

Users should not rely on beta functionality for mission-critical purposes.

Collector’s BOX will make reasonable efforts to preserve user data but beta users acknowledge that technical changes may require correction, migration or, in unusual circumstances, resetting certain beta information.

Permanent preservation of beta data is not guaranteed.

Beta users acknowledge that:

• they are testing prerelease software;
• catalog information may be incomplete or inaccurate;
• bugs may occur;
• features may change;
• feedback may be used to improve the Service;
• Collector’s BOX should not be their sole collection record; and
• participation may be ended by either party.

Collector’s BOX does not guarantee uninterrupted availability.

Maintenance, software changes, infrastructure failures, third-party outages, security events, migrations or circumstances outside our control may interrupt the Service.

Collector’s BOX may modify, suspend or discontinue features or the Service.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, COLLECTOR’S BOX AND THE SERVICE ARE PROVIDED "AS IS" AND "AS AVAILABLE."

COLLECTOR’S BOX AND BOXYOUPOP DISCLAIM WARRANTIES, EXPRESS, IMPLIED OR STATUTORY, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, COMPLETENESS, RELIABILITY AND AVAILABILITY.

COLLECTOR’S BOX DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE, ERROR-FREE OR THAT COLLECTIBLE INFORMATION WILL BE COMPLETE OR ACCURATE.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, COLLECTOR’S BOX, BOXYOUPOP, AND THEIR OWNERS, OFFICERS, EMPLOYEES, CONTRACTORS, AFFILIATES, AGENTS, LICENSORS AND SERVICE PROVIDERS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY OR PUNITIVE DAMAGES ARISING FROM OR RELATING TO THE SERVICE.

THIS INCLUDES LOST PROFITS, REVENUE, OPPORTUNITIES, DATA, COLLECTION RECORDS, COLLECTIBLE VALUE, PURCHASES OR SALES MADE IN RELIANCE UPON CATALOG INFORMATION, COUNTERFEIT PURCHASES, INACCURATE RARITY OR VALUATION INFORMATION, BUSINESS INTERRUPTION OR LOSS OF GOODWILL.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, AGGREGATE LIABILITY ARISING FROM THE SERVICE OR THESE TERMS WILL NOT EXCEED THE GREATER OF: (A) THE AMOUNT THE USER PAID DIRECTLY TO COLLECTOR’S BOX DURING THE 12 MONTHS PRECEDING THE CLAIM; OR (B) US $100.

Any limitations apply only to the extent permitted by applicable law.

Users are responsible for decisions made using information obtained through Collector’s BOX.

Collector’s BOX is not responsible for transactions between collectors, buyers, sellers, retailers, marketplaces, manufacturers or other third parties.

To the extent permitted by applicable law, users agree to defend, indemnify and hold harmless Collector’s BOX, boxYOUpop, and their respective owners, affiliates, officers, employees, contractors and agents from claims, liabilities, damages, losses and reasonable costs arising from unlawful use of the Service, material violation of these Terms, User Contributions, infringement of third-party rights, or fraudulent or intentionally harmful activity through the user’s account.

This does not require indemnification where applicable law prohibits it.

Collector’s BOX may restrict, suspend or terminate access when it reasonably believes these Terms have been violated, an account creates a security risk, fraud or abuse has occurred, intellectual-property violations are occurring, or continued access creates legal exposure.

Personal information is governed by the Collector’s BOX Privacy Policy.

These Terms are governed by the laws of the State of California, without regard to conflict-of-law principles, except where applicable law requires otherwise.

Before commencing arbitration, the parties agree to attempt in good faith to resolve the dispute informally. Written notice may be sent to Support@boxyoupop.com and should describe the dispute and requested resolution.

Except for disputes eligible for small claims court, requests for emergency/injunctive relief where legally available, or claims that cannot lawfully be required to be arbitrated, disputes arising from or relating to these Terms or the Service will be resolved through binding individual arbitration.

The arbitration shall take place in Alameda County, California, USA, unless applicable law requires another location or the parties agree otherwise.

Arbitration shall be conducted on an individual basis and not as a class, consolidated, collective, or representative proceeding, to the extent such waiver is permitted by applicable law.

Nothing in these Terms waives rights or remedies that cannot legally be waived.

Collector’s BOX may update these Terms from time to time. When changes are material, Collector’s BOX will take reasonable steps to notify users, such as by updating the "Last Updated" date or providing notice within the Service. Continued use of the Service after changes become effective constitutes acceptance of the updated Terms, except where additional affirmative acceptance is required.

If any provision of these Terms is held invalid or unenforceable, that provision will be limited or severed to the minimum extent necessary, and the remaining provisions will remain in full force and effect.

A party’s failure to enforce any provision of these Terms is not a waiver of its right to do so later, and no single or partial exercise of any right precludes any further exercise of it.

Users may not assign or transfer these Terms without Collector’s BOX's prior written consent. Collector’s BOX may assign these Terms in connection with a merger, acquisition, reorganization or sale of assets, or as otherwise permitted by law.

These Terms, together with any policies expressly incorporated by reference, constitute the entire agreement between the user and Collector’s BOX regarding the Service and supersede prior agreements on that subject.

Nothing in these Terms is intended to limit or waive any rights or remedies available to users under the laws of the State of California or other applicable consumer-protection law that cannot lawfully be limited or waived. Where any provision conflicts with such non-waivable rights, those rights control.
